Terms and Conditions – Brandshare Inc. and its subsidiary Victoria Emerson “Summer Getaway” Giveaway.

  1. Information on how to enter and prizes form part of these conditions of entry. Entry into this Giveaway is deemed to be acceptance of these conditions. Brandshare Inc., 60, St.Clair Street E., 1003, M4T 1N5 Toronto, ON, Canada is the Promoter (“Promoter”).
  2. The Summer Getaway Giveaway ("Giveaway") is open to legal residents of Canada and the United States, with the exception of Quebec,  Alaska, who have reached 18 years of age as of the beginning of the Giveaway Period, and who are not:
    1. an employee of; or
    2. domiciled with an employee of; or
    3. an immediate family member of an employee of the Promoter or its affiliated companies, their advertising, and promotional agencies.
  3. No purchase is necessary. The Giveaway is subject in all instances to compliance with applicable laws. By entering this Giveaway, the participants (and their legal guardians or parents, the case being) agree to the terms and conditions of these Official Rules (the “Rules”). This Giveaway is void where prohibited by law. Participants must have valid travel documents (i.e. passport) prior to entering the contest.
  4. The Giveaway Period runs from Thursday, June 16, 2022, at 12:01 a.m. EST to Monday, June 20, 2022, at 11:59 p.m. EST (“Giveaway Closing Date”).

  6. Entrants who receive a Victoria Emerson email invitation are herein referred to as the ‘Entrant’. The Entrant, having received the email invitation, must ensure he/she/they complete all mandatory fields of the entry form and submits the form as instructed before the Giveaway Closing Date. Upon successful submission of the entry form, the order in which the invitation follows, and all subsequent orders before the Giveaway Closing date will count as entries.
  7. To earn one (1) entry in the Giveaway, the Entrant must have placed an order (or Alternative Method of Entry received), received an email invitation linking to an entry form, completed all the mandatory fields of their entry forms, and submitted them prior to the Giveaway Closing Date.
  8. The initial order placed to receive the email invitation and entry form (or Alternative Method of Entry) will count as one (1) entry, once the entry form is successfully submitted. Every order placed (or Alternative Method of Entry received) after the successful completion of the entry form will automatically count towards one (1) entry and will receive entry confirmation until the Giveaway Closing date. 
  9. Each order placed before the order that receives the email invitation and/or successful submission of the entry form does not count towards entries. Orders placed places before the Giveaway start date do not count toward entries. Orders placed after the Giveaway closing date do not count toward entries. There is no maximum number of entries.
  10. Alternative Method of Entry: Individuals who prefer not to submit entry forms online and/or do not want to be placed on Victoria Emerson’s marketing distribution list may enter by sending a completed paper copy of the entry form and the correct answer to this skill-testing question (4x2) + 6, by first or second class post, to the following address: Brandshare Inc., 60, St.Clair Street E., 1003, M4T 1N5 Toronto, ON, Canada. The completed entry forms must be postmarked during the Entry Period and shall indicate the identity of the person wishing to enter. All mail-in entries must be postmarked by the End Date. Any mailed entry form will not be deemed incomplete if it does not contain an email address so long as all other required fields are complete and a phone number is set forth so that Brandshare Inc. can contact the individual in the case of winning. Individuals using this alternative method of entry shall not be placed on Victoria Emerson’s email list but may be contacted through email for purposes of notifying such individual if he, she, or they win the Giveaway.
  11. By entering the Giveaway online, entrants agree to receive communications from Victoria Emerson by email and/or text messages and consent to Victoria Emerson’s Privacy Policy.
  12. Any attempt, or suspected attempt of the Entrant to enter the Giveaway more than once by using multiple email addresses or pen names, or any use of robotic, automatic, programmed, or any entry methods not authorized by these rules, shall be deemed as tampering and will void all Entries.
  13. All Entries that are incomplete, illegible, damaged, contain an erroneous phone and/or email address, or do not conform to or satisfy any condition of the rules may be disqualified by the Promoter.
  14. Following the conclusion of the Giveaway, Brandshare Inc. and its subsidiary Victoria Emerson will draw at random a Team entry from all valid entries received during the Giveaway Period as the winner. The draw will take place on Monday, June 27, 2022, at 3:00 p.m. EST at Brandshare Inc.’s Head Office (60 St. Clair Street E.). The draw will not take place publicly. The winning Entrant will be notified by email (to the email addresses registered with the Promoter) on Monday, June 27, 2022, at 4:00 p.m. EST. The winners must claim their prize by responding via email.
  15. The Promoter will notify the winning Entrant via email on or before Monday, June 27, 2022. They must correctly answer the mathematical question in the email within the specified time provided. Mail-in participants will be contacted at the email address or phone number provided on their entry. They must have correctly answered the mathematical question on their entry. All travel companions must have valid travel documents (i.e. passport) in order to be eligible to travel with the winner. The Winner will be required to select alternative travel companion(s) in the event one or more of the selected travel companions a) does not have valid travel documents (i.e. passport) and/or b) is under the age of majority in the province or state of residence and does not provide an affidavit signed by a parent or guardian granting the former permission to travel. Brandshare Inc. reserves the right to verify the authenticity of the signatory of the affidavit.
  16. The Promoter’s decision is final, and no correspondence will be entered into.
  17. In the event of the prize being unclaimed by Thursday, June 30, 2022, further, draw/s will take place to determine replacement winners on Friday, July 1, 2022, at 3:00 p.m. EST. The draw will not take place publicly. The replacement winners will be notified by email on the same day. The Winner must claim their prize by responding via email. The Promoter will publish the unclaimed draw results and the winner's name in the same medium (Brandshare Inc. and its subsidiary Victoria Emerson’s email subscriber base) as to where the promotion was advertised, on, or before Monday, June 27, 2022.
  18. There will be a total of one (1) Prize awarded as follows. The prize is one (1) $1000 e-gift card for Delta Air Lines and (1) $250 e-gift card for Victoria Emerson. This Giveaway is in no way sponsored, endorsed or administered by, or associated with Delta Air Lines.
  19. Total prize pool value is $1,250. The denomination will be in CAD or USD depending on the residence of the winner.
  20. The winner must abide by all terms and conditions of the respective gift cards provided as prizes. Terms and conditions are stipulated independently by Delta Air Lines for the Delta Air Lines gift card, are not the responsibility of Brandshare Inc. and its subsidiary Victoria Emerson, and must be adhered to by the winner.   21. Any concerns, questions, or issues relating to the Delta Air Lines gift card, including but not limited to: change in redemption methods, change in the terms and condition, gift card redemption, gift card balance, etc. are not the responsibility of Brandshare Inc. and its subsidiary Victoria Emerson. Once the prize has been claimed and awarded, all instances relating to the Delta Air Lines gift card must be dealt with Delta Air Lines directly.
  22. The prizes must be accepted as awarded and are not transferable or otherwise redeemable for cash. The odds of winning the prize depend on the number of eligible entries received. Upon acceptance of the prize, the prize winners agree to provide reasonable cooperation to allow Brandshare Inc. and its subsidiary Victoria Emerson to use their name and/or likeness for advertising and publicity purposes in connection with this Giveaway including, but not limited to, publication of their name and photograph on Brandshare Inc. and its subsidiary Victoria Emerson website.
  23. This Giveaway may be promoted through third-party websites, like Facebook. Entrants must at all times comply with the terms of service for those third-party websites when using them to participate in this Giveaway. This Giveaway is in no way sponsored, endorsed or administered by, or associated with those third-party websites.
  24. Members of the Promoter who provide incorrect or fraudulent information are ineligible to participate in the promotion. The Promoter reserves the right to request, at its sole discretion, appropriate photo identification or other documentation in order to confirm the entrants’ eligibility to enter and claim a prize, before issuing a prize. If the documentation required by the Promoter is not received by the Promoter or its nominated agent, or the identity of the entrant has not been verified or validated to the Promoter’s satisfaction, then that entrant will be deemed invalid.
  25. Any costs associated with accessing the promotional website are the entrant’s responsibility and are dependent on the Internet service provider used. Any contact details entered incorrectly on the website shall be deemed invalid.
  26. The Promoter is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, technical problems, or traffic congestion on the Internet or at any website, or any combination thereof, or any other technical failures, including but not limited to any injury or damage to participants’ or any other person's computer related to or resulting from participation in or downloading any materials in this Giveaway. If for any reason this Giveaway is not capable of running as planned (including but not limited to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Promoter, which corrupt or affect the administration security, fairness, integrity or proper conduct of this Giveaway, the Promoter reserves the right in its sole discretion to cancel, postpone, or amend this Giveaway.
  27. The Promoter as well as its associated agencies and companies are not liable for any loss (including, without limitation, indirect or consequential loss), damage, personal injury, or death that is suffered or sustained (including but not limited to that arising from any person's negligence) in connection with the prize or use of the prize. This excludes any liability that cannot be excluded by law (in which case that liability is limited to the minimum allowable by law).
  28. If any of the provisions of these terms and conditions are held to be invalid or unenforceable in whole or in part, that part shall be severed from the remainder of the provisions and the validity of the other provisions and the remainder of the provision in question shall not be affected.
  29. The Promoter collects entrants' personal information in order to conduct the promotion. If the information requested is not provided, the entrant may not participate in the promotion. By entering the promotion, unless otherwise advised, each entrant also agrees that the Promoter may use this information and approved images (photograph and/or film recording), or disclose it to other organizations that may use it, in any media for future promotional, marketing and publicity purposes without any further reference, payment or other compensation to the entrant.
  30. These terms and conditions shall be governed by the laws of Canada and any dispute shall be subject to the exclusive jurisdiction of the Canadian courts.
  31. All expenses related to the receipt and use of the prizes including travel, surcharges, fees, taxes (federal, provincial, state, and local), and incidentals if any, are the sole responsibility of the winner. Without limiting the generality of the foregoing, all expenses not specifically stated herein to be the responsibility of the Sponsor shall be the sole responsibility of the winner. No refund or compensation of any costs or expenses incurred by a Prize-winning participant shall be made. The Promoter denies any liability or responsibility in connection with any injuries, loss, or damage of any kind arising out of this contest or the prizes.
